Terms of Service
Last updated September 9, 2026
These Terms of Service (the “Terms”) form a binding legal agreement between you (“you,” “your,” or “Customer”) and Affiliate Academy, LLC, a New Mexico limited liability company (“Affiliate Academy,” “we,” “us,” or “our”). They govern your access to and use of affiliate-academy.com and any related websites, member portals, communities, calls, downloads, and programs we operate (collectively, the “Services”), as well as any purchase you make from us.
By accessing the Services, creating an account, submitting information through our website or by direct message, booking a call with us, or clicking any button indicating acceptance (including “I Agree,” “Enroll,” “Buy Now,” “Submit,” or similar), you agree to these Terms and to our Privacy Policy, which is incorporated here by reference. If you do not agree, do not use the Services.
These Terms contain provisions that materially affect your legal rights, including:
- Section 7: All sales are final. We do not offer refunds.
- Section 11: No income, earnings, or results are guaranteed.
- Section 20: Mandatory binding arbitration and a waiver of your right to a jury trial and to participate in a class action.
- Sections 17 and 18: Disclaimers of warranties and limitations of our liability.
Please print or save a copy of these Terms for your records.
1. Eligibility
The Services are intended for adults. By using the Services or enrolling in any program, you represent and warrant that you are at least eighteen (18) years of age, or the age of majority in your jurisdiction if that age is higher, and that you have the legal capacity to enter into a binding contract.
The Services are not directed to children, and we do not knowingly collect information from anyone under 18. See our Privacy Policy for details.
We offer the Services worldwide. You are responsible for complying with the laws of your own country, state, and locality, including any laws governing online business activity, advertising, taxation, and consumer protection. We make no representation that the Services are appropriate or available in any particular jurisdiction.
2. What We Provide
Affiliate Academy is an education and coaching company. We provide instructional content and support relating to building online audiences and monetizing them through affiliate marketing and related methods.
Depending on the program or tier you purchase, the Services may include some or all of the following: recorded video curriculum, a progress-tracked learning environment, written guides, checklists, templates, access to a private member community, live group calls, access to a library of previously recorded calls, and, at the highest tier, a limited amount of one-to-one work with our founder.
The specific inclusions, duration, and delivery format of your purchase are those described on the offer page, order form, or enrollment agreement applicable to your purchase at the time you bought it. Where a separate written enrollment agreement or program agreement is signed by both parties, that agreement controls over these Terms to the extent of any direct conflict, and these Terms govern everything else.
We may add, modify, retire, or replace program content, tools, platforms, coaches, community software, and call schedules at any time. We will not materially reduce the substance of what you purchased, and we reserve the right to improve, update, and reorganize it.
3. Accounts, Access, and Seat Restrictions
To use most of the Services you must create an account. You agree to provide accurate, current, and complete information and to keep it updated.
Your access is personal, individual, and non-transferable. You agree that you will not:
- share your login credentials with any other person;
- allow any other person to access the curriculum, community, calls, recordings, or downloads through your account;
- purchase a seat on behalf of, or for resale to, any third party without our prior written consent;
- create more than one account, or create an account after we have terminated a prior account of yours.
You are responsible for all activity that occurs under your account and for maintaining the confidentiality of your credentials. Notify us immediately at legal@affiliate-academy.com if you believe your account has been accessed without your authorization.
If we determine, in our reasonable discretion, that your account is being used by more than one person or that credentials have been shared, we may suspend or terminate your access without refund and pursue any other remedy available to us.
4. License to Program Materials
All curriculum, videos, recordings, transcripts, slides, documents, templates, checklists, spreadsheets, prompts, frameworks, community content posted by us, and other materials made available through the Services (collectively, the “Materials”) are owned by Affiliate Academy, LLC or licensed to us, and are protected by United States and international copyright, trademark, and other intellectual property laws.
Subject to your compliance with these Terms and your payment in full, we grant you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and view the Materials for your own personal and internal business use for the duration of your access.
You may apply what you learn in your own business without restriction. That is the point of the program. What you may not do is redistribute the Materials themselves. Specifically, you agree that you will not:
- copy, download (except where a download button is expressly provided), screen-record, screenshot for distribution, mirror, republish, post, transmit, or distribute any Materials;
- sell, license, rent, trade, or give away access to the Materials;
- use the Materials to create, teach, market, or operate a competing course, coaching program, membership, cohort, or training product;
- use the Materials, in whole or in part, as training data or input for any machine learning model, large language model, or AI system, or to generate derivative instructional content;
- remove, obscure, or alter any copyright notice, watermark, attribution, or proprietary marking.
The names “Affiliate Academy,” our logos, and our taglines are our trademarks. Nothing in these Terms grants you any right to use them, to register them or any confusingly similar mark or domain name, or to hold yourself out as affiliated with, endorsed by, or certified by us.
This Section survives termination of your access.
5. Live Calls and Recordings
Group calls, workshops, Q&A sessions, and one-to-one sessions are recorded. By joining any call, you consent to being recorded, including your voice, your video if enabled, your screen if shared, your name or display name, and your questions and comments.
You grant us a perpetual, worldwide, royalty-free, irrevocable, sublicensable license to use, reproduce, edit, and distribute those recordings for any purpose connected to the Services, including making them available in the call library to current and future members, and using excerpts for training, quality assurance, and marketing.
If you do not want to appear in a recording, keep your camera off, use a display name that does not identify you, and submit questions in writing instead.
Recordings are provided for member access only. Section 4 applies to them in full.
6. Pricing, Payment, and Payment Plans
Pricing. Prices are stated in U.S. Dollars and all payments must be made in U.S. Dollars. Prices are those in effect at the time of your purchase. We may change our prices, offers, tiers, and promotions at any time, and a price change does not entitle you to a credit, adjustment, or refund on a prior purchase.
Payment processing. We process payments through third-party processors, currently including Stripe and Commas (formerly FanBasis). Your use of those services is subject to their own terms and privacy policies. We do not store your full card number. You represent that you are authorized to use the payment method you provide and that the information you provide is accurate.
Order acceptance. Your order is not accepted until payment (or the first scheduled installment) has cleared and we have confirmed enrollment. A payment page confirmation, order receipt, or automated email does not by itself constitute our acceptance. We may decline, limit, or cancel any order at our sole discretion, including where we believe the program is not a fit for the applicant, and in that case we will refund any amount actually collected on the declined order.
One-time purchases and split payments. Programs are sold for a single total price. As a courtesy, we may allow that total price to be paid in scheduled installments (for example, three or four payments). A payment plan is a payment convenience, and it is not a subscription, a membership fee, or a per-month purchase. You are purchasing the full program at the full price, and you owe the full price regardless of how much of the program you use, complete, or attend.
Authorization for scheduled charges. If you elect a payment plan, you authorize us and our payment processors to automatically charge your payment method for each scheduled installment on its due date, in the stated amount, without further notice or authorization from you, until the total price is paid in full. You agree to keep a valid payment method on file for the duration of the plan and to update it promptly if it expires, is replaced, or is declined.
Missed payments and suspension. If any installment fails or is not received when due, we may suspend or terminate your access to the Services, including the community, calls, curriculum, and recordings, immediately and without notice. Suspension or termination for non-payment does not cancel, reduce, or forgive the outstanding balance, and it does not entitle you to any refund of amounts already paid.
Acceleration. If you fail to make any scheduled installment when due and do not cure that failure within seven (7) days of written notice to the email address on your account, the entire remaining unpaid balance of the total price becomes immediately due and payable in full, at our election and without further notice. You agree that this remaining balance is a liquidated debt owed for a program already delivered or made available to you, and not a penalty.
Late amounts and collection costs. Past due amounts may accrue interest at the lesser of 1.5% per month or the maximum rate permitted by applicable law. You agree to reimburse us for all reasonable costs of collection, including collection agency fees, court costs, arbitration fees, and attorneys' fees.
Taxes. Prices do not include any sales, use, VAT, GST, withholding, or similar taxes. You are responsible for all such taxes other than taxes on our net income, and if we are required to collect them we will add them to your invoice.
International payments. You are responsible for any currency conversion charges, international transaction fees, or bank fees imposed by your card issuer or bank.
7. All Sales Are Final. No Refunds.
All purchases are final. We do not offer refunds, credits, exchanges, cancellations, or partial refunds, for any reason, at any time, including but not limited to:
- change of mind, or deciding the program is not what you expected;
- failure to log in, attend calls, complete the curriculum, or use the Services;
- dissatisfaction with your own results, or lack of results;
- personal circumstances, financial hardship, illness, job change, or loss of income;
- disagreement with instruction, coaching, feedback, or community moderation;
- inability to implement, lack of time, or lack of capital to implement.
You are purchasing immediate access to digital educational materials and to a limited-capacity human program. Our costs are incurred at the point of enrollment and our capacity is allocated to you at that point, which is why this policy exists and why it is applied consistently to every customer.
Immediate access and waiver of withdrawal rights. By enrolling, you expressly request that we begin providing the Materials and the Services immediately, and you acknowledge that you will lose any statutory right of withdrawal or cancellation that would otherwise apply to distance-sold digital content once performance has begun. This applies to consumers in the European Union, the United Kingdom, and any other jurisdiction granting a comparable cooling-off period. Nothing in these Terms limits any right that cannot be waived under the mandatory law of your country of residence.
Chargebacks. If you initiate a chargeback, payment dispute, or reversal, you agree that we may (a) immediately suspend or terminate your access, (b) submit these Terms, your acceptance record, your access and usage logs, and your communications with us to the card network or processor as evidence that services were delivered as described, and (c) recover from you the disputed amount, any chargeback fees imposed on us, and our costs of responding, including attorneys' fees. Filing a chargeback for a purchase covered by this Section is a breach of these Terms. If you have a concern about your purchase, contact us first at legal@affiliate-academy.com and we will work with you in good faith.
8. Community Conduct
Where your program includes access to a private community, group chat, or live call, you agree to conduct yourself professionally. You will not:
- harass, threaten, demean, or discriminate against any member, coach, or staff member;
- pitch, recruit, solicit, cold-message, or advertise to other members, including for your own offers, downlines, agencies, services, or communities, without our prior written permission;
- share, screenshot, export, or repost other members' posts, revenue figures, business details, questions, or personal information outside the community;
- post content that is unlawful, infringing, defamatory, sexually explicit, or malicious;
- scrape, bulk-export, or automate collection of member data or community content;
- misrepresent your identity, experience, credentials, or results.
Members share sensitive business information inside the community in reliance on its being private. Treat everything posted there as confidential.
We may moderate, edit, or remove any content, and we may warn, mute, suspend, or permanently remove any member for conduct we determine, in our reasonable discretion, to be harmful to the community. Removal for a conduct violation does not entitle you to a refund and does not relieve you of any remaining payment obligation.
9. Your Content
You retain ownership of the content you post inside the community or submit to us. By posting or submitting content, you grant us a worldwide, non-exclusive, royalty-free, sublicensable, transferable license to host, store, reproduce, display, and distribute that content within the Services for the purpose of operating and improving them.
You represent that you own or have the necessary rights to the content you post and that it does not infringe any third party's rights.
10. Testimonials, Reviews, and Success Stories
We welcome feedback, and we may ask to feature it.
If you provide us with a testimonial, review, case study, interview, screenshot, or before-and-after result, you grant us a perpetual, worldwide, royalty-free, irrevocable, sublicensable license to use, reproduce, edit for length and clarity, and publish it, together with your first name, last initial, city, state or country, photograph, video, and business or brand name, in any medium and for any promotional or educational purpose, without further notice, approval, or compensation.
We may correct obvious typographical and grammatical errors and may shorten a testimonial, and we will not alter its substance or attribute to you a claim you did not make. We are under no obligation to publish any testimonial.
Testimonials reflect the individual experience of the person giving them. They are not typical, not average, and not a promise, prediction, or guarantee of what you will experience. Your results will differ.
If you want a published testimonial removed, email legal@affiliate-academy.com and we will remove it from materials under our direct control within a reasonable period, recognizing that we cannot recall materials already distributed.
11. Earnings Disclaimer and No Guarantee of Results
This is the most important section of these Terms. Read it in full.
Affiliate Academy sells education. We do not sell a business, a job, a guaranteed income, a passive income stream, or a done-for-you result.
We make no guarantee, promise, representation, or warranty of any kind that you will earn any money, recover your investment, achieve any particular result, or achieve any result at all. No coach, closer, staff member, contractor, affiliate, or community member of Affiliate Academy is authorized to make such a guarantee, in writing, on a call, in a direct message, or in any other format. If anyone makes such a promise to you, it is unauthorized, it is not binding on Affiliate Academy, and you should report it to legal@affiliate-academy.com immediately.
Affiliate marketing and online business involve risk, including the risk of losing money you invest in tools, advertising, content production, software, contractors, and your own time. You should not enroll with money you cannot afford to lose, and you should not enroll in reliance on any expectation of a specific return.
Results depend on you. Outcomes in this field depend on factors we do not control and cannot control, including your effort, consistency, prior experience, available time, available capital, niche selection, market conditions, platform algorithm changes, affiliate program terms and commission changes, competition, and business judgment. Two people can receive identical instruction and reach completely different outcomes.
About examples, case studies, and figures we publish. Any earnings figures, income screenshots, case studies, student results, or examples that we publish or reference are illustrations of what specific individuals reported achieving. They are not averages, they are not typical, and they are not what you should expect. Many participants in any educational program make little or no money, and some lose money.
About our founder's business credential. Our founder was an equity owner of an affiliate marketing business from 2019 to 2022 that generated $42.4 million in revenue and $7 million in profit. Those figures were independently reviewed against his federal tax returns by a chartered financial analyst, who issued a signed letter to that effect. This credential is stated as a description of a prior business he held equity in. It is a statement of business revenue and business profit, and it is not a statement of his personal income, and it is not a representation, projection, prediction, or guarantee of what you or any other customer will earn. His prior results were achieved under different market conditions, with different resources, at a different time, and they do not indicate what any customer will achieve.
No professional advice. Nothing in the Services constitutes legal, tax, accounting, financial, investment, medical, or other professional advice, and no coach or staff member of Affiliate Academy is acting as your attorney, accountant, financial advisor, fiduciary, or broker. Consult qualified licensed professionals in your own jurisdiction before making business, legal, tax, or financial decisions. You are solely responsible for your own business decisions and for compliance with all laws applicable to your business, including advertising and endorsement rules, tax obligations, and the terms of service of any platform or affiliate network you use.
You acknowledge that you have read this Section, that you are enrolling based on the educational value of the program itself, and that you are not relying on any representation of future income.
12. Affiliate Links and Third-Party Offers
We may recommend third-party tools, software, hosting, platforms, and services within the Services, and we may earn a commission, referral fee, or other compensation when you purchase through our links. This does not increase your cost.
We recommend tools we believe are useful, and we do not warrant, endorse, or assume responsibility for any third-party product, service, pricing, availability, support, data practice, or outcome. Your dealings with any third party are solely between you and that third party.
13. Third-Party Platforms and Links
The Services rely on third-party platforms, which may include course hosting, community software, video conferencing, scheduling, email delivery, and payment processing. Their availability, performance, and terms are outside our control. Interruption, degradation, or discontinuation of a third-party platform is not a breach of these Terms by us, and we will make reasonable efforts to restore or replace the affected functionality.
The Services may contain links to third-party websites. We do not control and are not responsible for their content, accuracy, or privacy practices.
14. Acceptable Use
You agree not to:
- use the Services for any unlawful purpose or in violation of any applicable law;
- attempt to gain unauthorized access to any portion of the Services, any account, or any of our systems;
- probe, scan, disable, circumvent, or interfere with any security, authentication, or access-control feature, including any measure limiting downloads or copying;
- introduce malware, or launch any denial of service, credential stuffing, or automated attack;
- scrape, crawl, index, harvest, or use bots or automated means to extract content or data from the Services;
- upload to any system connected to the Services any Social Security numbers, national identification numbers, payment card numbers, bank account numbers, passwords or security credentials, or sensitive health information;
- send unsolicited commercial messages (“spam”) to our members or through our systems, or use our name or content in any unsolicited campaign;
- impersonate any person or misrepresent your affiliation with us;
- take any action that harms or is intended to harm our reputation, our members, or the integrity of the Services.
15. Privacy
Your submission of personal information to us is governed by our Privacy Policy, available at affiliate-academy.com, which is incorporated into these Terms by reference. We may update the Privacy Policy from time to time as described in it.
16. Termination
By us. We may suspend or terminate your access to all or part of the Services at any time, with or without notice, if we determine in our reasonable discretion that you have breached these Terms, that your account is being shared, that you have failed to make a scheduled payment, that you have initiated a chargeback, that your conduct is harmful to our members or staff, or that your use of the Services violates applicable law.
By you. You may stop using the Services at any time. Because all sales are final under Section 7, discontinuing use does not entitle you to a refund and does not cancel any remaining payment obligation.
Effect of termination. Upon termination, your license under Section 4 ends immediately and you must stop using and destroy any downloaded Materials in your possession. Any amounts you owe remain owed. Sections 4, 5, 6, 7, 9, 10, 11, 17, 18, 19, 20, 22, and 24 through 32 survive termination, along with any other provision that by its nature should survive.
Lifetime access. Where your purchase is described as including lifetime access, “lifetime” means for as long as Affiliate Academy, LLC continues to operate the applicable program, and it does not obligate us to operate any program, platform, or community in perpetuity. If we permanently discontinue a program to which you hold lifetime access, we will provide reasonable advance notice and a reasonable opportunity to download any Materials made available for download, and no refund will be owed.
17. Disclaimer of Warranties
EXCEPT WHERE PROHIBITED BY LAW, THE SERVICES AND ALL MATERIALS ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. WE EXPRESSLY DISCLAIM ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
WE DO NOT WARRANT THAT: (A) THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (B) THE MATERIALS ARE ACCURATE, COMPLETE, CURRENT, OR SUITABLE FOR YOUR SITUATION, YOUR NICHE, YOUR JURISDICTION, OR YOUR BUSINESS; (C) THE STRATEGIES TAUGHT WILL CONTINUE TO WORK AS PLATFORMS, ALGORITHMS, AFFILIATE PROGRAMS, AND MARKETS CHANGE; (D) ANY DEFECT WILL BE CORRECTED; OR (E) THE SERVICES OR THEIR SERVERS ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED FROM US OR THROUGH THE SERVICES, CREATES ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS.
Some jurisdictions do not allow the exclusion of certain warranties, so some of the above may not apply to you, and in that case our warranties are limited to the minimum extent permitted by applicable law.
18. Limitation of Liability
EXCEPT WHERE PROHIBITED BY LAW, IN NO EVENT SHALL AFFILIATE ACADEMY, LLC OR ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, COACHES, CONTRACTORS, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOST PROFITS, LOST REVENUE, LOST BUSINESS OPPORTUNITY, LOST DATA, LOST GOODWILL, OR COST OF SUBSTITUTE SERVICES, ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES, REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
EXCEPT WHERE PROHIBITED BY LAW, OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE TOTAL AMOUNT YOU ACTUALLY PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
THESE LIMITATIONS APPLY TO THE FULLEST EXTENT PERMITTED BY LAW AND ARE AN ESSENTIAL BASIS OF THE BARGAIN BETWEEN US. WITHOUT THEM, THE PRICING OF THE SERVICES WOULD BE MATERIALLY DIFFERENT.
Some jurisdictions do not allow certain limitations of liability, so some of the above may not apply to you.
19. Indemnification
You agree to defend, indemnify, and hold harmless Affiliate Academy, LLC and its members, managers, officers, employees, coaches, contractors, and agents from and against any claim, demand, action, loss, liability, damage, cost, or expense, including reasonable attorneys' fees, arising out of or related to: (a) your use of the Services; (b) your breach of these Terms; (c) your business activities, marketing, advertising, endorsements, or affiliate promotions, including any claim that they violated any law, regulation, platform policy, or affiliate network agreement; (d) content you post; or (e) your violation of any third party's rights.
20. Dispute Resolution, Binding Arbitration, and Class Action Waiver
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT AND TO HAVE A JURY DECIDE YOUR CASE.
20.1 Informal resolution first. Before starting arbitration, you agree to first contact us in writing at legal@affiliate-academy.com with a description of your claim and the relief you seek, and to work with us in good faith to resolve it. If the dispute is not resolved within sixty (60) days of that notice, either party may begin arbitration. This informal step is a condition precedent to arbitration.
20.2 Agreement to arbitrate. Except as stated in Sections 20.4 and 20.5, any dispute, claim, or controversy arising out of or relating to these Terms, the Privacy Policy, your purchase, or your use of the Services, whether based in contract, tort, statute, fraud, misrepresentation, or any other legal theory, shall be resolved exclusively by final and binding arbitration administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules or Commercial Arbitration Rules, as applicable, in effect at the time the demand is filed. The AAA's rules are available at adr.org.
The arbitration shall be conducted by a single arbitrator, in English, seated in Plymouth County, Massachusetts. The parties may agree to conduct the arbitration by telephone, videoconference, or written submission. The arbitrator shall apply Massachusetts substantive law without regard to its conflict of laws principles, and shall have exclusive authority to resolve any dispute about the interpretation, scope, applicability, enforceability, or formation of this arbitration agreement, including whether a claim is arbitrable. Judgment on the award may be entered in any court of competent jurisdiction. This agreement to arbitrate is governed by the Federal Arbitration Act, 9 U.S.C. §§ 1 to 16.
Each party shall bear its own attorneys' fees and costs except where the arbitrator awards them under applicable law, and administrative and arbitrator fees shall be allocated under the AAA rules.
20.3 Class action waiver. YOU AND AFFILIATE ACADEMY AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person's claims and may not preside over any form of class or representative proceeding. If this class action waiver is found unenforceable as to a particular claim, then that claim shall be severed from arbitration and heard in court under Section 22, and the remainder of this Section 20 shall remain in force.
20.4 Your right to opt out of arbitration. You may opt out of this arbitration agreement by sending written notice to legal@affiliate-academy.com within thirty (30) days of your first acceptance of these Terms, stating your name, the email address on your account, and that you elect to opt out of arbitration. Opting out will not affect any other part of these Terms and will not affect your access to the Services.
20.5 Exceptions. Either party may bring an individual claim in small claims court if it qualifies. Either party may also seek injunctive or other equitable relief in the state or federal courts located in Plymouth County, Massachusetts to protect its intellectual property, confidential information, or account security, without first proceeding through Sections 20.1 or 20.2.
20.6 Time limit. Any claim arising out of or relating to these Terms or the Services must be filed within one (1) year after the claim arises, or it is permanently barred, except where a longer period is required by law that cannot be waived. The one-year period includes the informal resolution period in Section 20.1.
20.7 Survival. This Section survives termination of your account and of these Terms.
21. No Waiver
Our failure or delay in enforcing any provision of these Terms is not a waiver of that provision or of any other right. Any waiver must be in writing and signed by us, and a waiver on one occasion does not waive any subsequent occasion.
22. Governing Law and Venue
These Terms and any dispute arising out of or relating to them or to the Services are governed by the laws of the Commonwealth of Massachusetts, without regard to its conflict of laws principles, and without regard to the United Nations Convention on Contracts for the International Sale of Goods.
To the extent any claim is found not subject to arbitration under Section 20, you and we agree that it shall be brought exclusively in the state or federal courts located in Plymouth County, Massachusetts, and you irrevocably consent to the personal jurisdiction of, and venue in, those courts and waive any objection based on inconvenient forum.
If you are a consumer resident in the European Union or the United Kingdom, nothing in this Section deprives you of the protection of the mandatory consumer law of your country of habitual residence.
23. Force Majeure
We are not liable for any delay or failure to perform caused by events beyond our reasonable control, including acts of nature, fire, flood, epidemic or pandemic, war, terrorism, civil unrest, labor disputes, government action, power or telecommunications failure, internet or hosting outage, cyberattack, or the failure or discontinuation of a third-party platform on which the Services depend.
24. Assignment
We may assign these Terms, in whole or in part, at any time without notice, including in connection with a merger, acquisition, reorganization, or sale of all or substantially all of our assets. You may not assign or transfer these Terms or your account without our prior written consent, and any attempted assignment without consent is void.
25. Notices and Electronic Communications
You consent to receive communications from us electronically, including by email, through the member platform, and by direct message on platforms where you contacted us. You agree that electronic communications, notices, disclosures, and agreements satisfy any legal requirement that they be in writing and signed.
Notices to you will be sent to the email address on your account, and it is your responsibility to keep that address current. Notices to us must be sent to legal@affiliate-academy.com, with a copy by mail to:
Affiliate Academy, LLC
Attention: Legal

Wareham, MA 02571

26. Electronic Signature
By clicking “I Agree,” “Enroll,” “Buy Now,” “Submit,” or a similar button, or by otherwise accepting these Terms, you are signing this agreement electronically. You agree that your electronic signature is the legal equivalent of your handwritten signature and has the same force and effect.
27. DMCA and Copyright Complaints
If you believe material available through the Services infringes a copyright you own, send a written notice to legal@affiliate-academy.com containing: (a) your physical or electronic signature; (b) identification of the copyrighted work claimed to be infringed; (c) identification of the material claimed to be infringing and its location; (d) your contact information; (e) a statement that you have a good faith belief the use is not authorized by the copyright owner, its agent, or the law; and (f) a statement, under penalty of perjury, that the information in the notice is accurate and that you are the copyright owner or authorized to act on the owner's behalf.
We will respond to properly submitted notices in accordance with the Digital Millennium Copyright Act, and we may terminate the accounts of repeat infringers. If you believe a notice was filed against you in error, you may submit a counter-notice to the same address.
28. Changes to These Terms
We may update these Terms at any time by posting the revised version at affiliate-academy.com with a new “Last Updated” date. Changes take effect when posted. For material changes, we will make reasonable efforts to notify active customers by email or through the member platform. Your continued use of the Services after changes are posted constitutes acceptance. If you do not agree to a change, stop using the Services, noting that discontinuing use does not entitle you to a refund under Section 7 and does not cancel any remaining payment obligation.
Changes to the arbitration agreement in Section 20 will not apply retroactively to any claim of which we had written notice before the change was posted.
29. Your Representations and Warranties
You represent and warrant that:
- you are at least 18 years old and have the capacity to enter into this agreement;
- all information you provide to us is truthful, accurate, and complete, and you are not impersonating another person;
- you are enrolling for your own use and not for resale or redistribution;
- you are not enrolling with funds you cannot afford to lose, and you are not relying on any promise, projection, or guarantee of income;
- you will comply with all laws applicable to your business and with the terms of service of every platform and affiliate network you use; and
- you are not located in, and are not a national or resident of, any country or region subject to comprehensive United States trade sanctions, and you are not on any United States government restricted-party list.
You further agree that we may contact you by email, telephone, and where you have consented, by text message, for purposes including onboarding, program delivery, scheduling, service updates, satisfaction surveys, and follow-up regarding orders you placed or considered placing.
30. Relationship of the Parties
Nothing in these Terms creates a partnership, joint venture, employment, agency, or franchise relationship between you and Affiliate Academy, LLC. You are an independent party, responsible for your own business, taxes, expenses, and legal compliance. You have no authority to bind us or to represent yourself as our agent, employee, representative, licensee, or certified partner.
31. Severability
If any provision of these Terms is held invalid or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, or if it cannot be modified, severed, and the remaining provisions shall remain in full force and effect.
